Atlantic Lithium
Atlantic Lithium has established a joint Integration Committee with Zhejiang Huayou Cobalt Co., Ltd. to oversee the development of the Ewoyaa Lithium Project in Ghana while progressing the proposed acquisition of the company by the Chinese mining group.
The committee, comprising representatives from both Atlantic Lithium and Huayou, will coordinate regulatory approvals, integration planning, stakeholder and community engagement, and agree on the development pathway for the Ewoyaa Lithium Project until the proposed takeover becomes effective.
The company disclosed the development in its Quarterly Activities and Cash Flow Report for the period ended June 30, 2026.
Atlantic Lithium said the committee was established in accordance with the Scheme Implementation Deed signed with Huayou in May this year, under which the Chinese company has agreed to acquire all issued shares in Atlantic Lithium through an Australian scheme of arrangement.
The company also confirmed that it has consented to Elevra Lithium Limited transferring its interests in the Ewoyaa Project to Huayou. Once the novation agreement receives the required regulatory approvals, Huayou will assume sole responsibility for funding the remaining development costs of the project under the existing project agreement.
According to Atlantic Lithium, the arrangement provides a clear pathway for advancing the Ewoyaa Lithium Project, which is expected to become Ghana’s first lithium-producing mine, while helping accelerate the delivery of benefits to host communities in the Central Region.
Chief Executive Officer Keith Muller said the company continued to work closely with Huayou to progress the proposed transaction, describing it as an important step towards de-risking the funding and development of the Ewoyaa project.
The proposed acquisition remains subject to shareholder, court and regulatory approvals. Atlantic Lithium expects to distribute the Scheme Booklet to shareholders in October 2026, hold a shareholder meeting in November, and complete the transaction in December 2026.
